These Terms of Service (“Terms”) govern your access to and use of reportlab’s websites, software, and services (collectively, the “Services”) provided by PRIORA, LLC (d/b/a reportlab) (“reportlab,” “we,” “us,” “our”). By using the Services, you agree to these Terms.
If you use the Services on behalf of an organization, you represent you have authority to bind that organization, and “you” refers to the organization.
Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
Accounts and access
You are responsible for maintaining the confidentiality of your credentials and all activity under your account. Notify us promptly of unauthorized access at support@reportlab.io.
Acceptable use
You agree not to:
Reverse engineer, decompile, or attempt to extract source code (except where prohibited by law)
Interfere with security, integrity, or performance of the Services
Use the Services to violate laws or infringe rights
Transmit malware or attempt unauthorized access
Scrape or harvest data without permission
We may suspend or terminate access if we reasonably believe you violated these Terms.
Customer Data
“Customer Data” means data you upload, submit, connect, or otherwise make available through the Services.
You retain ownership of Customer Data.
You grant reportlab the rights necessary to host, process, transmit, and display Customer Data solely to provide and improve the Services and to meet legal obligations.
You represent you have all rights and permissions necessary to provide Customer Data and authorize our processing.
PHI, HIPAA, and BAA requirement
If you use the Services in a manner that involves Protected Health Information (“PHI”):
PHI only under a signed BAA: reportlab will process PHI as a Business Associate only where a Business Associate Agreement (“BAA”) is fully executed between reportlab and the applicable Customer (or otherwise expressly agreed in writing).
No BAA, no PHI: Unless a BAA is signed, you agree not to upload, send, or transmit PHI to reportlab through the Services, Site forms, or general support email.
Customer responsibilities: You are responsible for determining whether your use is subject to HIPAA and for configuring and using the Services in compliance with applicable laws.
If there is a conflict between these Terms and a BAA, the BAA controls with respect to PHI.
Third-party services and integrations
The Services may integrate with third-party tools and platforms. Your use of third-party services is governed by their terms and policies. reportlab is not responsible for third-party services.
Fees and payment (if applicable)
If you purchase paid Services, fees and billing terms will be provided in an order form, statement of work (“SOW”), or checkout flow. Unless otherwise stated, fees are non-refundable except as required by law.
Professional services (if applicable)
If we provide consulting/professional services, the scope and deliverables are governed by a separate SOW or agreement. If there’s a conflict, the SOW controls for that scope.
Confidentiality
Each party may receive confidential information. The receiving party will protect it with reasonable care and use it only to perform under these Terms, disclosing only to authorized personnel and service providers under similar obligations.
Intellectual property
reportlab owns the Services, including software, designs, and documentation, excluding Customer Data. You receive a limited, non-exclusive, non-transferable right to use the Services during the term, subject to compliance.
Feedback you provide may be used by reportlab without restriction or compensation.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, reportlab DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
reportlab IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
reportlab’s TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID reportlab FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID reportlab).
Indemnification
You will indemnify and hold harmless reportlab from claims arising out of:
Customer Data,
Your violation of these Terms,
Your violation of law or infringement of third-party rights.
Term and termination
These Terms remain effective while you use the Services. We may suspend or terminate access for violations, security risk, or legal compliance. Upon termination, your right to use the Services ends. Provisions that should survive will survive.
Governing law; venue
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. You agree that any dispute will be brought in the state or federal courts located in Delaware, and you consent to jurisdiction and venue there.
Changes to these Terms
We may update these Terms. If changes are material, we will provide notice via the Site or email. Continued use after the effective date means you accept the updated Terms.
